- Equity annualization is a comparison tool, not a promise. It divides face value by the vest period so offers are comparable; actual value depends on the stock price, dilution, taxes, and how long you stay.
- Options are treated as $0 until you say otherwise — typing an assumed share price is your guess, clearly labeled as an assumption in the output.
- The cliff is where offers go to die: leaving one day before a 1-year cliff means the equity paid you exactly nothing while you worked full-time.
- Not modeled: refresh grants, early-exercise tax treatment, ISO/NSO differences, multi-tranche accelerators, cost of living. The letter's fine print always wins.
